Hüküm doğurması ya da ifa edilebilir hâle gelmesi belirli bir koşulun gerçekleşmesine bağlanmış sözleşmedir; koşul sağlanana dek taraflar bağlıdır ancak asıl edimler askıdadır. Satın alma işlemlerinde bu yapı yaygındır: hisse alım sözleşmesi rekabet otoritesi onayına ya da düzenleyici izne koşullanır ve bir son tarih (long-stop date) belirlenir. Uygulayıcı için kritik olan, koşulun gerçekleşmesini hangi tarafın hangi ölçüde çabayla (best efforts, reasonable endeavours) sağlamakla yükümlü olduğudur, zira bu çaba standardı, işlemin kapanmama riskinin taraflar arasında nasıl dağıldığını belirler.
English Definition
A contract whose operation or enforceability is made contingent on the occurrence of a specified condition; until the condition is met the parties are bound but the substantive obligations remain suspended. The structure is common in acquisitions: a share purchase agreement is conditioned on competition clearance or a regulatory consent, with a long-stop date fixed. What matters to the practitioner is which party bears what standard of effort — best efforts, reasonable endeavours — to bring the condition about, since that effort standard determines how the risk of the deal failing to close is allocated between them.
