Sendikasyon süreçlerinde bu mektup pratik bir işlev taşır: potansiyel kredi verenler, bilgi memorandumunu (info memo) ve veri odasını görmeden önce bu mektubu imzalayarak bilgiye erişim hakkı kazanır. Uygulayıcı için önemli olan, mektubun icra edilebilirliğinin karşı edim eksikliği nedeniyle sorgulanabilmesidir; bu nedenle iyi kaleme alınmış bir gizlilik mektubu, tek taraflı bir taahhüt olsa dahi bağlayıcılığı güvenceye alacak biçimde yapılandırılır.
English Definition
A confidentiality document lighter and quicker than a full agreement, in which a party unilaterally declares its undertaking to keep the information it receives confidential. In syndication processes the letter serves a practical function: prospective lenders gain the right to access the information memorandum and the data room by signing it before seeing either. What matters to the practitioner is that the letter's enforceability can be questioned for want of consideration; a well-drafted confidentiality letter is therefore structured to secure binding force even as a one-sided undertaking.
