Bir borç ilişkisinde alacaklı ve borçlu sıfatlarının aynı kişide birleşmesi hâlinde borcun kendiliğinden sona ermesini ifade eden hukuk kuralıdır; kişi kendi kendisinin alacaklısı olamayacağı için yükümlülük ortadan kalkar. Grup içi yeniden yapılanma ve birleşmelerde bu kural pratik sonuç doğurur: iki grup şirketi birleştiğinde aralarındaki grup içi alacak-borç ilişkisi sona erebilir ve bu ilişkiye bağlı teminatlar da çözülebilir. English Definition
A legal rule providing that where the capacities of creditor and debtor unite in the same person a debt is extinguished automatically, since one cannot be one's own creditor and the obligation therefore falls away. In intra-group restructurings and mergers the rule has practical consequences: when two group companies merge, the intercompany claim between them may end, and the security attached to that relationship may unwind with it. The critical point for the practitioner is that within a structure where lenders hold security, an unforeseen merger carries the risk of quietly extinguishing an existing security interest through the merger of capacities.
