English Definition
A document that accompanies goods during carriage, evidencing the existence of the contract of carriage and that the goods were handed to the carrier; the CMR note in road transport is an established example. Its critical difference from a bill of lading is that a consignment note is, as a rule, not a document of title and does not represent ownership: it cannot be transferred by endorsement and so confers no power of disposal over the goods themselves. That distinction matters in project financing, because for a lender seeking to position goods in transit as security, or to tie payment under a letter of credit to a document, whether the document it holds represents the goods determines the substance of its payment security.
