İşlem hukukunda ve birleşme-devralmalarda, bir varlığın ya da hisse grubunun devri karşılığında ödenen toplam bedeldir; nakit, hisse, borç üstlenimi ya da vadeye bağlı ödeme (earn-out) bileşenlerinden oluşabilir. Bedelin yapısı, yalnızca fiyatın büyüklüğü kadar riskin taraflar arasında nasıl dağıldığını da belirler; earn-out bileşeni, satıcının gelecekteki performansa ortak edilmesi yoluyla değerleme uyuşmazlığını köprüler. Proje devralmalarında bedelin bir kısmının escrow hesabında tutulması, kapanış sonrası ortaya çıkabilecek gizli yükümlülüklere karşı alıcının başvurabileceği tek pratik teminat olduğundan, escrow tutarı ve süresi müzakerenin en çekişmeli kalemidir.
English Definition
In transactional practice and in mergers and acquisitions, the total price paid in exchange for the transfer of an asset or block of shares, which may comprise cash, stock, assumed debt or deferred earn-out components. The structure of the consideration determines not only the headline size but how risk is split between the parties; an earn-out component bridges a valuation gap by keeping the seller exposed to future performance. In project acquisitions, holding part of the consideration in escrow is often the only practical recourse a buyer retains against hidden post-closing liabilities, which is why the escrow amount and its duration are the most contested items in the negotiation.
