English Definition
Goods delivered to another party for the purpose of sale while title remains with the consignor, so that until a sale occurs the goods stay legally on the consignor's balance sheet. This distinction becomes decisive on the consignee's insolvency, because, title not having passed, the goods fall outside the bankruptcy estate and the consignor can reclaim them. In project procurement, consigning long-lead critical equipment eases the buyer's inventory-financing burden, but failing to keep clear in the security register who actually owns the goods can cause lenders to miscalculate the scope of their collateral.
