Konsinye ilişkisini düzenleyen ve tarafların hak ve yükümlülüklerini belirleyen sözleşme koşullarıdır; satış fiyatı, komisyon, iade hakkı, mülkiyetin geçiş anı, sigorta yükümlülüğü ve satılmayan malın akıbeti bu koşulların çekirdeğini oluşturur. En kritik hüküm, konsinye alanın elindeyken malın telef ya da hasar riskini kimin taşıdığıdır, zira bu risk dağılımı sigorta maliyetini ve iflas hâlindeki istihkakı doğrudan belirler. Uygulayıcıların gözden kaçırdığı husus, mülkiyeti saklı tutma kaydının bazı yargı bölgelerinde ancak tescil ya da yazılı şekil şartına uyulduğunda üçüncü kişilere karşı ileri sürülebilmesidir.
English Definition
The contractual terms governing a consignment relationship and defining the parties' rights and duties; the sale price, commission, right of return, the moment title passes, insurance obligations and the fate of unsold goods form their core. The most critical provision is who bears the risk of loss or damage while goods are in the consignee's hands, since this allocation drives insurance cost and the right to reclaim on insolvency. What practitioners overlook is that in some jurisdictions a retention-of-title clause is enforceable against third parties only where a registration or writing requirement has been met.
