English Definition
The fundamental documents that establish a legal entity's existence and govern its internal workings — the memorandum and articles of association for companies, the partnership agreement for partnerships, the constitutive deed for funds. Because these documents fix authority to sign, decision quorums and the limits of purpose (ultra vires), the validity of any financing transaction depends directly on them. The first layer of project-finance legal due diligence is to confirm that the SPV's constituent documents permit it to borrow, grant security and pledge shares; a restriction of purpose or an absence of authority in these documents can render an executed credit agreement unenforceable.
