Proje finansmanında bilhassa teminatın tesisinde önem taşır, zira ipotek ya da rehin tescili kimi hukuk sistemlerinde alacaklının rüçhan hakkını ancak tescil anında kurar; tescilden önce sözleşme imzalanmış olsa dahi lehtar üçüncü kişilere karşı korunmaz. English Definition
The quality of a legal act or registration that itself brings a right into existence rather than merely evidencing one, standing opposite to a declaratory effect. It matters most in the creation of security, because in several jurisdictions the registration of a mortgage or pledge constitutes the lender's priority only at the moment of filing; a signed agreement predating that filing leaves the beneficiary unprotected against third parties. For the lender this fixes the precise instant at which perfection is complete, which in turn conditions the release of first drawdown.
