Projenin tesisinin belirli bir bedel, takvim ve teknik standart karşılığında inşa edilmesini düzenleyen sözleşmedir; proje finansmanında çoğunlukla anahtar teslim EPC formunda kurgulanır. Kredi verenin gözünde bu sözleşmenin değeri, fiyat sabitliği, tamamlanma taahhüdü, gecikme ve performans cezalarının tavanı (LD cap) ve ayıp sorumluluğu hükümlerinin ne ölçüde bankable olduğuyla ölçülür. Uygulamada kritik ayrıntı, sorumluluk üst sınırının toplam bedelin genellikle sınırlı bir yüzdesiyle sınırlanmış olması, dolayısıyla ciddi bir gecikmede yüklenicinin maruz kaldığı azami cezanın kredi verenin uğradığı zararı karşılamaya yetmemesidir.
English Definition
The contract that governs the building of a project's asset for a defined price, schedule, and technical standard, most often structured in project finance as a turnkey EPC arrangement. To the lender its value is measured by how bankable its price certainty, completion undertaking, delay and performance liquidated-damages caps, and defects-liability provisions are. The decisive detail in practice is that the aggregate liability cap is usually confined to a limited percentage of the contract price, so that in a serious delay the contractor's maximum exposure falls short of the loss the lender actually suffers.
