Bir sözleşmeyi imzalayarak hak ve yükümlülük üstlenen taraflardan her biridir; tüzel ya da gerçek kişi olabilir. Proje finansmanında asıl mesele, sözleşmeyi imzalayan tüzel kişinin bilançosu ile ardındaki grup arasındaki mesafedir; zira sık görülen kalıp, işi ince sermayeli bir özel amaçlı şirketin (SPV) imzalaması ama gerçek kredi değerliliğinin ana şirkette olmasıdır. Bu nedenle kredi verenler, sözleşme tarafının kimliğini değil, ardındaki garanti zincirini ve tüzel kişilik perdesinin ne ölçüde delinebileceğini inceler.
English Definition
Each of the persons — corporate or natural — that assumes rights and obligations by entering into a contract. In project finance the crux is the distance between the balance sheet of the entity that signs and the group standing behind it, since a familiar pattern has the work signed by a thinly capitalized special-purpose vehicle while the real creditworthiness resides in a parent. Lenders therefore examine not the identity of the contracting party but the chain of guarantees behind it and the extent to which the corporate veil could be pierced.
