Bir tarafın sözleşme gereği yapmakla ya da yapmaktan kaçınmakla yükümlü olduğu somut davranıştır; hakkın karşı yüzüdür. Proje finansmanında edimlerin azami çaba (best efforts) mı yoksa kesin sonuç (strict) yükümlülüğü mü olduğu ayrımı, bir uyuşmazlıkta kimin haklı çıkacağını belirleyen sessiz kaldıraçtır; zira azami çaba yükümlülüğü, sonuç gerçekleşmese bile makul çabayı ispatlayan tarafı korur. Sözleşme müzakeresinde bu iki formülasyon arasındaki tek kelimelik seçim, çoğu zaman fiyattan daha fazla risk taşır.
English Definition
A concrete act a party is bound to perform or refrain from under a contract; the obverse of a right. In project finance the distinction between a best-efforts duty and a strict or absolute one is the quiet lever that decides who prevails in a dispute, since a best-efforts obligation shields the party that can prove reasonable diligence even where the outcome fails to materialize. The one-word choice between these formulations in negotiation often carries more risk than price does.
