Bir tarafı belirli risklere karşı korumak üzere sözleşmeye yerleştirilen hükümlerin toplamıdır; tazminat (indemnity), beyan ve taahhütler (reps and warranties), koşullar ve fesih hakları bunun araçlarıdır. Proje finansmanında sözleşmesel korumanın gerçek değeri, hükmün metninde değil, arkasındaki tarafın ödeme kabiliyetinde saklıdır; zira içi boş bir SPV'nin verdiği güçlü bir tazminat, ana şirket garantisiyle desteklenmedikçe kağıt üzerinde kalır. Bu nedenle deneyimli kredi verenler, korumanın kapsamından önce korumayı verenin bilançosunu değerlendirir.
English Definition
The set of provisions inserted into a contract to shield a party against specified risks — indemnities, representations and warranties, conditions, and termination rights being its instruments. In project finance the real value of a contractual protection lies not in the wording of the clause but in the ability to pay of the party standing behind it, since a strong indemnity given by a hollow SPV remains paper unless backed by a parent guarantee. Experienced lenders therefore appraise the balance sheet of the protection's grantor before its scope.
