Proje finansmanında hizmet sözleşmelerinin devredilebilirliği ve kilit personel bağımlılığı sessiz bir kırılganlıktır; zira bir tesisin işletmesi belirli bir operatörün bilgi birikimine bağlıysa, o operatörün çıkışı ikame maliyeti ve performans riski üretir. Bu nedenle kredi verenler, kritik hizmet sözleşmelerine yedek operatör hükmü ve teknoloji lisansının devamlılığını iliştirmeyi tercih eder.
English Definition
The service obligations, usually recurring, that a party undertakes to provide under a contract — operation, maintenance, technical support, and administrative functions falling under this heading. In project finance the transferability of service contracts and their dependence on key personnel is a quiet fragility, since where the operation of a facility relies on the know-how of a particular operator, that operator's exit produces replacement cost and performance risk. Lenders therefore prefer to attach a replacement-operator provision and continuity of the technology licence to critical service contracts.
