Bir şirkette yönetim ve karar gücünü sağlayacak ölçüde, çoğunlukla oy çoğunluğunu ya da fiili kontrolü veren hisse bloğudur. Proje finansmanında kontrol hissesinin el değiştirmesi (change of control) tipik bir zorunlu erken ödeme (mandatory prepayment) tetikleyicisidir; zira kredi verenin kredi kararı, belirli bir sponsorun teknik ehliyeti ve bilançosuna dayanır ve bu dayanağın kaybı kredinin varsayımını çökertir. Bu nedenle finansman belgelerinde kontrol hissesinin tanımı — hangi oy oranının, hangi dolaylı sahiplik zincirinin kontrol sayılacağı — çoğu zaman uzun ve dikkatle müzakere edilir.
English Definition
A block of shares large enough to confer management and decision power in a company, usually a voting majority or effective control. In project finance a change of control over the control stock is a typical mandatory prepayment trigger, since the lender's credit decision rests on the technical competence and balance sheet of a particular sponsor, and the loss of that basis undermines the loan's premise. The definition of the control stock in the finance documents — which voting share, which chain of indirect ownership counts as control — is therefore often long and carefully negotiated.
