Bir şirkette birlikte hareket ederek karar gücünü elinde tutan pay sahipleri kümesidir; tek başına çoğunluğu olmayan ama oy anlaşması, aile bağı ya da ortaklık sözleşmesiyle fiilen kontrol kuran ortaklar bu tanıma girer. Proje finansmanında kontrol grubunun kimliği kadar iç istikrarı da önemlidir; zira grup içi bir anlaşmazlık — özellikle oy anlaşması dağıldığında — projeyi karar felcine sürükleyebilir ve bu, dış bir olaydan çok daha zor öngörülür. Kredi verenler bu nedenle ortaklar arası anlaşmayı (shareholders' agreement) ve çıkmaz (deadlock) çözüm mekanizmasını, teminat paketi kadar dikkatle inceler.
English Definition
The set of shareholders that holds decision power in a company by acting together; shareholders without a majority individually but who establish effective control through a voting agreement, family ties, or a partnership contract fall within this definition. In project finance the internal stability of the controlling group matters as much as its identity, since a dispute within the group — particularly when a voting agreement collapses — can drive the project into decision paralysis, which is far harder to foresee than an external event. Lenders therefore examine the shareholders' agreement and the deadlock-resolution mechanism as carefully as the security package.
