Bir şirkette kontrol gücünü fiilen taşıyan somut hisse bloğudur; kontrol gücünün (controlling interest) mülkiyet cinsinden karşılığıdır. Proje finansmanında hâkim hissenin rehnedilmesi (share pledge), kredi verenin en güçlü teminatlarından biridir; zira temerrüt hâlinde tek tek varlıkları icra etmek yerine, kontrol payını devralarak projenin tümüne el koyma imkânı verir. Bu 'hisse üzerinden devralma' yolu, çoğu jurisdiction'da varlık icrasına kıyasla çok daha hızlı işlediği için finansörler tarafından tercih edilir; ancak payın devrinin düzenleyici onaya tabi olduğu sektörlerde bu hız sessizce kaybolabilir.
English Definition
The concrete block of shares that actually carries control in a company; the ownership counterpart of a controlling interest. In project finance a pledge over the controlling stake is among the lender's strongest security, since on default it allows seizing the whole project by taking over the control stake rather than enforcing against individual assets. This route of taking over through shares is preferred by financiers because it works far faster than asset enforcement in most jurisdictions; yet in sectors where transfer of the stake is subject to regulatory approval, that speed can quietly disappear.
