Bir birimin başka bir birime hangi oranda çevrileceğini gösteren katsayıdır; dönüştürülebilir menkul kıymette bir tahvile düşen hisse adedini, döviz bağlamında ise iki para biriminin değişim oranını ifade eder. Proje finansmanında her iki anlamı da nakit akışını doğrudan etkiler: menkul kıymet tarafında dönüşüm oranı sulanmayı belirlerken, döviz tarafında borç servisinin yerel gelirle karşılanabilirliğini tayin eder. Sözleşmede oranın sabit mi yoksa bir formüle mi bağlı olduğu, riskin hangi tarafta biriktiğini gösterir.
English Definition
The coefficient at which one unit translates into another; in a convertible security it is the number of shares per bond, and in a currency context the rate of exchange between two currencies. Both senses bear directly on cash flow in project finance: on the securities side the conversion rate governs dilution, while on the currency side it determines whether debt service can be met from local revenue. Whether the contract fixes the rate or ties it to a formula reveals which party accumulates the risk.
