Bir şirketin tüzel kişi olarak hukuken var olma ve bu varlığını sürdürme halidir; kurucularının ölümünden ya da paylarının el değiştirmesinden etkilenmeyen kesintisiz süreklilik (perpetual succession) ilkesine dayanır ve ancak tasfiye, birleşmeyle sona erme ya da sicilden silinme ile son bulur. Finansman sözleşmelerinde borçlunun tüzel kişiliğini muhafaza etmesi tipik bir olumlu covenant'tır; şirketin faal ve sicilde iyi durumda (good standing) olduğunu gösteren belge, kredi kullandırımının ön koşulları arasında yer alır. English Definition
The state of a company legally existing and continuing to exist as a legal person, resting on the principle of perpetual succession — unaffected by the death of its founders or the transfer of its shares — and ending only through liquidation, dissolution by merger, or removal from the register. In financing agreements the borrower's maintenance of its corporate existence is a standard affirmative covenant, and a certificate showing the company to be active and in good standing sits among the conditions precedent to drawdown. In project finance the continuity of the special-purpose vehicle is critical to the integrity of the security package, since its dissolution would remove the ground of the creditor's recourse.
