English Definition
A debt security issued by a company, typically of shorter or medium tenor than a bond, carrying a promise of principal and interest and usually sold unsecured, on the strength of the issuer's general credit quality. Companies frequently issue such instruments under a pre-approved medium-term-note programme, a flexible framework that lets them come to market quickly whenever a window opens. Being unsecured, the claim ranks behind secured debt in liquidation, so the note's coupon is a function of that structural subordination and the issuer's rating — sensitive to even the smallest change in it.
