English Definition
A formal decision duly taken and recorded by a company's competent organ — its board or general meeting — evidencing that a particular transaction is approved and authorising the persons who will execute it. In financing transactions lenders frequently require a certified corporate resolution approving the borrowing, the granting of security and the signing authority as a condition precedent to drawdown, since it is the proof that the signatory can genuinely bind the company. A defect in the resolution's procedure or quorum raises the risk of the transaction being voidable later, so counsel keep this point at the core of the capacity opinion.
