English Definition
The act by which a debtor creates for another creditor a lien equivalent to security already granted to an existing creditor, most often arising as an exception to a negative pledge clause, in the context of an obligation to provide equal and ratable security. The mechanism preserves parity among creditors by preventing the debtor from leaving one lender unsecured while granting security to another. In project finance the negative pledge protecting bondholders typically requires that if the debtor grants a lien to a third party, it must simultaneously create an equivalent lien in favor of the existing creditors; this condition acts as a lock against later dilution of the security pool.
