Bir kredi verenin, borçluya önceden kararlaştırılan koşullarla ve belirli bir tavana kadar fon kullandırmayı taahhüt ettiği düzenlemedir; tek seferlik bir kredi olabileceği gibi, çekilip geri ödendikçe yeniden kullanılabilen döner bir yapı da olabilir. Proje finansmanında finansman nadiren tek bir tesisten oluşur; inşa kredisi, vadeli kredi, KDV/işletme sermayesi tesisi ve DSRA tesisi gibi farklı amaçlara hizmet eden tranşlar aynı kredi sözleşmesi altında yan yana durur. Bu tranşların çekiş sırası, faiz oranı ve teminat üzerindeki öncelikleri farklı olduğundan, tesisler arası sıralama (intercreditor) düzenlemesi yapının en hassas müzakere alanıdır.
English Definition
An arrangement under which a lender commits to advance funds to a borrower on pre-agreed terms up to a stated ceiling; it may be a one-off loan or a revolving structure that can be redrawn as it is repaid. In project finance the financing rarely consists of a single facility; tranches serving different purposes — construction loan, term loan, VAT or working-capital facility, and DSRA facility — sit side by side under one credit agreement. Because these tranches differ in drawdown order, pricing, and priority over security, the intercreditor arrangement among facilities is the most delicate negotiation area of the structure.
