Proje finansmanında bu sözleşme çoğu zaman standart bir piyasa şablonu (örneğin LMA formatı) üzerine kurulur, fakat asıl müzakere covenant kalibrasyonunda ve ön koşulların kapsamında yaşanır. Sözleşmenin en çok ihtilaf doğuran bölümü tipik olarak temerrüt tanımlarıdır; bir cross-default ya da material adverse change hükmünün ne kadar geniş yazıldığı, kredi verene projeyi hızlandırma konusunda ne kadar erken müdahale hakkı verdiğini belirler.
English Definition
The legally binding contract that sets out all terms and conditions of a credit facility — amount, tenor, interest, drawdown mechanics, representations and undertakings, conditions precedent, the covenant package, and events of default. In project finance this agreement is usually built on a standard market template such as the LMA form, yet the real negotiation plays out in covenant calibration and the scope of conditions precedent. The most dispute-prone section is typically the default definitions; how broadly a cross-default or material-adverse-change clause is drafted determines how early it grants the lender a right to intervene and accelerate the project.
