Bir aciz ya da yeniden yapılandırma sürecinde, çok sayıda alacaklının çıkarını temsil eden ve süreç boyunca müzakere, denetim ve onay işlevi taşıyan resmi organdır. Komite, dağınık alacaklıların koordinasyon sorununu çözerek borçlu ya da yönetici (trustee) karşısında toplu bir müzakere gücü oluşturur. Proje finansmanında sendikasyon büyük ve heterojense komite üyeliği kimin gerçekten karar verdiğini belirler; nitekim küçük katılımcılar çoğunlukla komitede temsil edilmediğinden yeniden yapılandırma koşulları büyük senior kredi verenlerin tercihine göre şekillenir ve azınlık alacaklıların manevra alanı sözleşmesel oy eşiklerine sıkışır.
English Definition
A formal body that, in an insolvency or restructuring process, represents the interests of numerous creditors and carries negotiation, oversight, and approval functions throughout. By solving the coordination problem of dispersed creditors, the committee forms a collective bargaining force against the debtor or trustee. In project financing, where the syndicate is large and heterogeneous, committee membership determines who actually decides; indeed, because smaller participants are often unrepresented, restructuring terms take shape around the preferences of the large senior lenders, and minority creditors' room to manoeuvre narrows to the contractual voting thresholds.
