English Definition
A method in board elections granting each shareholder a number of votes equal to shares held multiplied by seats to be filled, and allowing those votes to be concentrated on a single candidate. The mechanism helps minority shareholders secure board representation and prevents the majority from sweeping every seat. In project financing joint-venture and holding structures, governance protection for a minority sponsor or financial investor is built through this provision; whether cumulative voting is accepted or excluded in the shareholders' agreement is a quiet determinant of the control balance.
