Due diligence sürecinin omurgasını oluşturur ve hangi belgenin açıldığı, temsil ve taahhütlerin kapsamını doğrudan belirler; zira çoğu satış sözleşmesinde veri odasında usulüne uygun ifşa edilmiş bir husus, satıcının sorumluluğunu sınırlar. Proje finansmanında rekabetçi bir satışta erişim izlerinin ve soru-cevap (Q&A) kayıtlarının tutulması, sonradan doğabilecek 'ne biliyordu, ne zaman biliyordu' tartışmasının delil temelini oluşturur.
English Definition
A controlled-access repository of documents that lets the buy-side and its advisers review materials on a target asset, today almost always operated as a virtual data room. It forms the backbone of due diligence and directly shapes the scope of representations and warranties, since under most sale agreements a matter properly disclosed there limits the seller's liability. In project finance, the access logs and Q&A records kept during a competitive sale form the evidentiary basis of any later dispute over what the buyer knew and when.
