English Definition
A long-term borrowing arrangement funded through debenture issuance and usually structured through a trustee, with the debt tied to a trust deed that collectively represents bondholders' rights. This structure centralises the enforcement power of a dispersed investor base by consolidating the contractual covenants in a single trustee. In project finance a debenture loan, unlike a bank construction loan, often constrains early repayment through make-whole penalties, which can strip the economic appeal from refinancing the project before maturity.
