English Definition
A commercial document by which one party notifies another of a claim arising in its favor and records the corresponding amount as a debit to the other's account, used to correct invoices, capture under-billing or pass through contractual penalties and costs. Its practical weight in project finance and construction contracts is that the debit note is the formal trigger for booking liquidated damages, retention deductions or change-order costs, and its date of issue frequently fixes the moment from which limitation periods and set-off rights begin to run.
