Alacaklı ile borçlunun, silinen borç tutarını, geçerlilik koşullarını ve karşılıklı yükümlülükleri yazılı olarak sabitlediği hukuki belgedir. Sözleşmenin gövdesi çoğu zaman aftan çok, affın hangi ön koşullara bağlandığı — ek teminat, kefaletlerin serbest bırakılması, gelecekteki dağıtım kısıtları — üzerine kuruludur. Uygulamada en kritik hükümler vergi sorumluluğunun hangi tarafta kalacağını ve borçlunun aynı dönemde başka alacaklılara daha iyi koşul tanımayacağını güvence altına alan eşit muamele (most-favoured) kayıtlarıdır; zira çok alacaklılı yapılarda bir affın diğer alacaklıları da masaya çağırması olağandır.
English Definition
The legal instrument in which creditor and borrower fix in writing the amount forgiven, the conditions of its effectiveness, and the reciprocal obligations. The body of the agreement is usually less about the forgiveness itself than about what it is conditioned upon — additional security, release of guarantees, restrictions on future distributions. In practice the most consequential clauses allocate the tax liability between the parties and secure a most-favoured-treatment covenant preventing the borrower from granting better terms to other creditors in the same period, since in multi-creditor structures one forgiveness tends to summon the rest to the table.
