Fon sağlamak amacıyla borç ihraç edilmesini, düzenlenmesini ya da devrini içeren her türlü finansal işlemin genel adıdır; ikili kredi, sendikasyon, tahvil ihracı ve özel yerleştirme başlıca biçimleridir. Bir borç işleminin mimarisi teminat paketini, alacaklılar arası öncelik sırasını ve covenant setini tek bir belge ekosisteminde bağlar; proje finansmanında bu ekosistem çoğu zaman ortak teminat vekili (security agent) etrafında örülen bir alacaklılar arası anlaşmayla (intercreditor agreement) yönetilir. English Definition
The general term for any financial transaction that involves issuing, arranging, or transferring debt to raise funds, with bilateral loans, syndications, bond issues, and private placements the principal forms. The architecture of a debt transaction binds the security package, creditor priority, and covenant set within a single ecosystem of documents; in project financing that ecosystem is typically governed by an intercreditor agreement woven around a common security agent. The real complexity of a transaction lies not in the interest rate but in the recovery ranking that creditors of differing seniority will share on default.
