Bir malın, belgenin ya da edimin, sözleşmede öngörülen yerde ve koşulda alıcının tasarrufuna geçirilmesini ifade eden kısaltmadır; teslim anı, risk ile mülkiyetin hangi noktada karşı tarafa geçtiğini belirlediği için ticari sözleşmelerin çekirdek kavramıdır. Incoterm sistemi bütünüyle bu teslim anının standartlaştırılması üzerine kuruludur. Proje finansmanında teslim, ekipman tedarikinde ödeme tetiği ve sigorta sorumluluğunun devir noktası olması bakımından kritiktir; nitekim teslim tanımının belirsizliği, hasar ya da gecikme hâlinde hangi tarafın sigortasının devreye gireceği ve ödeme yükümlülüğünün doğup doğmadığı konusunda ihtilaf üretir, bu yüzden deneyimli yapılandırmacılar teslim noktasını fiziksel devir kadar belgesel kabulle de sabitler.
English Definition
An abbreviation denoting the transfer of a good, document, or performance into the buyer's disposal at the place and on the conditions stipulated in the contract; the moment of delivery is a core concept of commercial contracts because it determines the point at which risk and title pass to the other party. The Incoterm system is built entirely on standardizing this moment of delivery. In project financing delivery is critical as the payment trigger in equipment supply and the point at which insurance responsibility transfers; indeed, ambiguity in the definition of delivery breeds disputes over whose insurance responds and whether the payment obligation has arisen in the event of damage or delay, which is why experienced structurers fix the delivery point by documentary acceptance as much as by physical transfer.
