Bir projenin ya da işlemin, nihai onaydan hemen önce ilgili tarafların (kredi komitesi, yatırım komitesi, bağımsız danışmanlar) incelemesine sunulan, neredeyse tamamlanmış belge setidir; teknik raporları, finansal modeli, hukuki due diligence bulgularını ve sözleşme taslaklarını tek bir paket hâlinde konsolide eder. Bu paket, kapanış öncesi son itiraz ve düzeltme penceresini temsil ettiğinden, açık kalan koşulların (open items) ve şarta bağlı hususların envanterini de içerir. English Definition
A near-complete set of documents submitted for review by the relevant parties — the credit committee, the investment committee, independent advisers — immediately before final approval of a project or transaction; it consolidates technical reports, the financial model, legal due-diligence findings, and contract drafts into a single package. Because this package represents the last pre-closing window for objection and correction, it also carries an inventory of open items and conditional matters. In project financing this stage is critical, since comments on the package often become the de facto conditions of credit-committee approval; indeed, a finding raised at this point is frequently resolved by converting it into a condition subsequent so as not to delay closing, and that deferral remains as a continuing obligation on the sponsor.
