Bir menkul kıymet ihracı ya da işlem öncesinde, aracı kurumların, hukuk müşavirlerinin ve denetçilerin şirket yönetimini doğrudan sorgulayarak izahname ya da işlem belgelerindeki beyanların doğruluğunu ve eksiksizliğini teyit ettikleri resmi toplantıdır. Toplantının işlevi yalnızca bilgi toplamak değil, aracı kurumların yükümlülük savunmasını (due diligence defense) belgelemektir; ihraç sonrası bir açıklama eksikliği iddiasında, bu toplantıda gösterilen özenin kaydı sorumluluktan korunmanın dayanağı olur. English Definition
A formal meeting held before a securities issue or a transaction at which underwriters, counsel and auditors question company management directly to confirm the accuracy and completeness of the statements in the prospectus or transaction documents. Its function is not merely to gather information but to document the underwriters' due diligence defence: in a later claim of disclosure failure, the record of care shown at this meeting becomes the basis for protection from liability. In project and infrastructure issues the session is a critical threshold where the consistency between technical adviser reports and management representations is tested and where it is settled how the findings will be reflected in the prospectus language.
