Bir kefalet ilişkisinde, asıl borçlu edimini yerine getirmediğinde kefilin üstlendiği ödeme ya da ifa sorumluluğunun kapsamını ve sınırlarını tanımlayan yükümlülükler bütünüdür; kefaletin fer'i niteliği gereği kefil kural olarak asıl borçlunun sahip olduğu def'ileri de ileri sürebilir. English Definition
The set of obligations defining the scope and limits of a surety's responsibility to pay or perform when the principal debtor defaults; owing to suretyship's accessory nature, the surety may as a rule raise the same defenses available to the principal debtor. In project financing this concept shifts substantially in performance and advance-payment bonds structured as on-demand instruments, since a first-demand clause detaches the security from the underlying contract, turns it into an independent payment undertaking, and narrows the surety's room to object. For the beneficiary this distinction is commercially critical, as it governs how quickly the security can be converted to cash.
