English Definition
A situation in which a signed agreement does not enter into force because the stipulated conditions precedent have not been satisfied within the specified timeframe. This commonly occurs in loan agreements where regulatory approvals, legal opinions, or corporate authorisations have not been obtained. Such failure may result in cancellation of commitments and forfeiture of any related fees.
