English Definition
Founder liability refers to the legal responsibility borne by the founders of a company for obligations incurred during the pre-incorporation period and the formation process. This may include personal liability for contracts entered into before the company gains legal personality, as well as liability for misrepresentations in the founding documents. In many jurisdictions, founder liability extends to ensuring the accuracy of capital contributions and compliance with incorporation requirements.
