English Definition
A corporate transaction through which a publicly traded company's shares are acquired by a controlling shareholder, management group, or private equity firm, resulting in the delisting of the company's securities from public stock exchanges and the termination of its public reporting obligations. Going-private transactions are typically structured as leveraged buyouts, tender offers, or reverse mergers and must comply with securities regulations protecting minority shareholders. Tax implications, including the treatment of capital gains for selling shareholders and the deductibility of acquisition-related debt, are significant structuring considerations.
