A contractual provision in a senior executive's employment agreement guaranteeing substantial compensation and benefits in the event that the executive's position is terminated following a change of control, merger, or hostile takeover of the company. Golden parachutes typically include severance payments calculated as multiples of annual salary, accelerated stock option vesting, continued benefits, and favourable tax gross-up provisions. While designed to reduce executive resistance to beneficial acquisitions, golden parachutes are criticised as entrenchment devices that can increase acquisition costs and misalign management incentives.
