English Definition
A system of rules, practices, and processes by which a company is directed and controlled, emphasising accountability, transparency, fairness, and responsibility in the relationship between management, the board of directors, shareholders, and other stakeholders. Good corporate governance principles include independent board oversight, robust internal audit functions, ethical business conduct, minority shareholder protection, and timely disclosure of material information. International standards such as the OECD Principles of Corporate Governance provide frameworks widely adopted by listed companies, financial institutions, and development finance organisations.
