English Definition
A contractually defined trigger, typically found in executive employment agreements, that entitles an employee to resign and receive severance benefits as if they had been terminated without cause. Good reason events commonly include material reduction in compensation or responsibilities, relocation beyond a specified distance, demotion, or the employer's material breach of the employment agreement. In change of control contexts, good reason provisions work in tandem with golden parachute clauses to protect executives from constructive dismissal following corporate transactions.
