The system of law chosen by the parties to a contract to govern the interpretation, validity, performance, and enforcement of their agreement, as specified in the governing law clause of the contract. In international finance, English law and New York law are the most frequently selected governing laws due to their well-developed commercial jurisprudence and predictable enforcement mechanisms. The choice of governing law is distinct from the choice of jurisdiction for dispute resolution and has significant practical implications for the enforceability of security interests, the availability of remedies, and the treatment of insolvency events.
