The principal center at which a company's directing will is concentrated and, in most legal systems, its legal domicile is fixed. Where the headquarters is registered is not a mere administrative detail; it directly determines the entity's tax residence, the company law that governs it, and the forum competent to hear disputes. In cross-border project finance this distinction becomes critical, because when the special-purpose vehicle carrying the project and the sponsor's headquarters sit in different jurisdictions, questions of withholding tax, profit repatriation, and enforcement of security are resolved at the intersection of those two layers.
