English Definition
An acquisition attempt that proceeds without the approval or cooperation of the target company's board of directors, typically through a direct tender offer to shareholders or a proxy fight to replace existing management. Hostile takeovers often involve significant premiums over market price to incentivise shareholder support. Target companies may employ defensive measures such as poison pills, golden parachutes, or white knight strategies to resist the bid.
