English Definition
The exchanges of goods, services, licenses, or funds occurring between affiliated companies under the same group roof, which — though their economic substance does not reach outside the group — affect each legal entity's financials and tax base. In project financing these transactions are the source of related-party risk: where a group company provides EPC, operation-maintenance, or supply services to the project company, whether the price is set at arm's length is a matter of scrutiny for both the lender and the tax authority. Lenders therefore require related-party contracts to be struck on terms available from an independent third party and impose restrictions against cash leaking outside the group.
