Borçlanma aracı ihraç etmek, bir kuruluşun tahvil, bono ya da benzeri enstrümanlar çıkararak yatırımcılardan borç almasıdır; öz sermaye ihracının aksine mülkiyet payını sulandırmaz, ancak geri ödeme ve faiz yükümlülüğü doğurur. Borç ihracı sermaye yapısının kaldıraç tarafını büyütür ve bir vergi kalkanı sağlarken temerrüt riskini artırır. Proje finansmanında borç ihracı çoğu zaman proje şirketi düzeyinde, sponsorun bilançosundan ayrıştırılmış biçimde yapılır; bu rücusuz (non-recourse) yapı, kredi verenin geri ödeme beklentisini sponsorun genel kredibilitesine değil, yalnızca projenin ürettiği nakit akışına dayandırır.
English Definition
To issue debt is for an entity to borrow from investors by putting out bonds, notes, or similar instruments; unlike an equity issue it does not dilute ownership but creates repayment and interest obligations. Issuing debt enlarges the leverage side of the capital structure and provides a tax shield while raising default risk. In project finance debt is typically issued at the project-company level, ring-fenced from the sponsor's balance sheet; this non-recourse structure rests the lender's expectation of repayment not on the sponsor's general creditworthiness but solely on the cash flow the project generates.
