İhraç izahnamesi, bir menkul kıymetin halka arzında yatırımcıya sunulması zorunlu olan; ihraççının mali durumunu, aracın koşullarını, hasılatın kullanım amacını ve risk faktörlerini ayrıntılı biçimde açıklayan yasal belgedir. Düzenleyici onayına tabidir ve ihraççının açıklama yükümlülüğünün merkezinde durur. Proje tahvili ihraçlarında izahnamenin risk faktörleri bölümü hukuken en hassas kısımdır; zira inşaat riski, off-taker yoğunlaşması, düzenleyici bağımlılık ve döviz uyumsuzluğu gibi unsurların burada eksik ya da hatalı açıklanması, sonradan yatırımcı tazminat davalarının ve ihraççı sorumluluğunun temelini oluşturur.
English Definition
An issue prospectus is the legal document that must be furnished to investors in a public offering of a security, disclosing in detail the issuer's financial condition, the instrument's terms, the use of proceeds, and the risk factors. It is subject to regulatory approval and lies at the center of the issuer's disclosure obligation. In project-bond issues the risk-factors section of the prospectus is legally the most sensitive part; incomplete or inaccurate disclosure there of construction risk, off-taker concentration, regulatory dependence, or currency mismatch forms the very basis of subsequent investor compensation claims and issuer liability.
