English Definition
An issuing agent is the intermediary that carries out the technical and administrative process of a securities issue on the issuer's behalf, coordinating document preparation, allotment, payment, and registration. It differs from an underwriter in that it typically does not assume the issue's placement risk, providing only operational execution. In project-bond issues the issuing agent's role often overlaps with paying-agent and registrar functions; this actor's flawless handling of the coupon-payment calendar and investor records is a precondition, in structures with many dispersed bondholders, for preventing default risk from arising out of administrative friction.
