Bir varlik ya da mulk uzerinde birden fazla tarafin sahip oldugu bolunmemis ortak pay ya da menfaati ifade eder; her tarafin hak ve yukumluluklerinin kapsami, ortakligin kurulus belgesiyle tanimlanir. Petrol ve gaz projelerinde bu kavram operasyonel bir bicime burunur; isletici olmayan ortaklar, kendi paylarina dusen gelistirme ve isletme maliyetlerini ortak menfaat faturasi (joint interest billing) yoluyla ustlenir. Bu faturalama mekanizmasinin gozden kacan riski, isletici tarafindan yansitilan maliyetlerin denetlenebilirligidir; isletme sozlesmesindeki denetim (audit) haklarinin zayif kaleme alinmasi, isletici olmayan ortagi, itiraz penceresi kapandiktan sonra sorgulanamaz hale gelen maliyet yansitmalarina maruz birakir.
English Definition
An undivided shared share or interest that several parties hold in an asset or property, the scope of each party's rights and obligations being defined by the instrument that establishes the co-ownership. In oil and gas projects the concept takes an operational form: non-operating partners bear their share of development and operating costs through joint interest billing. The overlooked risk of this billing mechanism is the auditability of the costs charged by the operator; weakly drafted audit rights in the operating agreement expose the non-operating partner to cost pass-throughs that become unchallengeable once the objection window has closed.
