Bir mulk ya da varligin iki ya da daha fazla kisiye ayni anda ait oldugu mulkiyet bicimidir; hayatta kalanin hakkini iceren birlikte mulkiyet (joint tenancy) ile her ortagin devredilebilir bolunmemis payini koruyan elbirligiyle mulkiyet (tenancy in common) arasindaki ayrim, paylarin devri ve intikali acisindan belirleyicidir. Proje ortakliklarinda ve ortak varlik sahipliginde bu yapinin onemi, cikis ve devir mekanizmalarini nasil sekillendirdigidir; onalim (pre-emption) haklari, birlikte satis (drag-along) ve satisa katilma (tag-along) hukumleri acikca duzenlenmediginde, bir ortagin payini disariya devretme girisimi, kalan ortaklar acisindan istenmeyen bir tarafla ortaklik riskine ve degerleme uyusmazligina donusebilir.

English Definition

A form of ownership in which a property or asset belongs to two or more persons at once; the distinction between joint tenancy, which carries a right of survivorship, and tenancy in common, which preserves each co-owner's transferable undivided share, is decisive for the transfer and devolution of shares. In project partnerships the significance is how it shapes exit and transfer mechanics: where pre-emption, drag-along, and tag-along provisions are not clearly regulated, one owner's attempt to transfer its share to an outsider can turn, for the remaining owners, into the risk of an unwanted partner and a valuation dispute.
